Process for Security Holder Communications with the Board of Directors


Security holders of MannKind Corporation wishing to communicate with MannKind’s Board of Directors or an individual director may send a written communication to the Board or such director c/o MannKind Corporation, 30930 Russell Ranch Road, Suite 301, Westlake Village, California 91362, Attn: Corporate Secretary.  Communications also may be sent by e-mail to the following address  Each communication must set forth the name and address of the MannKind stockholder on whose behalf the communication is sent. Each communication will be screened by MannKind’s Corporate Secretary to determine whether it is appropriate for presentation to the Board or such director. Examples of inappropriate communications include junk mail, mass mailings, product complaints, product inquiries, new product suggestions, resumes, job inquiries, surveys, business solicitations and advertisements, as well as unduly hostile, threatening, illegal, unsuitable, frivolous, patently offensive or otherwise inappropriate material. Communications determined by the Corporate Secretary to be appropriate for presentation to the Board or such director will be submitted to the Board or such director on a periodic basis.  The process regarding security holder communications with the Board will be posted on MannKind’s website.
